Further provider information is available in the Imprint.

These Terms of Service ("Terms") apply to access to and use of the Aviation Compliance AI platform, including its applications, features, artificial-intelligence functionality, document and manual workflows, regulatory tools and related services (collectively, the "Platform").

By creating an account, accessing or using the Platform, or purchasing a subscription, the customer or user agrees to these Terms.

Where a user accesses the Platform on behalf of an organisation, the user represents that they are authorised to use the Platform on behalf of that organisation within the scope of the permissions granted to them.

Additional terms contained in an order, enterprise agreement, data processing agreement or other written agreement between Aviation Compliance AI and a customer may apply. Where expressly agreed, such additional terms take precedence over these Terms in the event of a conflict.

02

Definitions

"Customer" means the individual or legal entity that creates, purchases or holds an organisation account or otherwise contracts for use of the Platform.

"User" means an individual authorised to access the Platform through a Customer account or organisation.

"Organisation" means a company, operator, training organisation, maintenance organisation, aviation undertaking, consultant or other entity represented within the Platform.

"Customer Content" means information, documents, manuals, procedures, files, text, data and other material submitted, uploaded, entered, generated from customer inputs or otherwise made available by a Customer or User through the Platform.

"AI-Generated Content" means text, recommendations, analyses, suggestions, summaries, comparisons, draft procedures or other output generated or assisted by artificial-intelligence functionality made available through the Platform.

"Regulatory Content" means regulations, regulatory materials, guidance, acceptable means of compliance, guidance material, standards or other aviation-related material made available, referenced or processed through the Platform.

"Subscription" means paid or unpaid access to specified Platform functionality for a particular period or subject to specified usage limits.

03

Platform purpose

Aviation Compliance AI is a software platform designed to assist aviation organisations and aviation professionals with activities including:

  • development and maintenance of aviation manuals;
  • compliance documentation and document management;
  • review and revision workflows;
  • regulatory mapping and traceability;
  • identification and management of compliance-related requirements;
  • collaboration and approval workflows;
  • change and revision management;
  • AI-assisted drafting, analysis and review; and
  • other aviation compliance and regulatory activities made available through the Platform.

The Platform is intended to support professional workflows. It does not itself perform the legal, regulatory or organisational responsibilities assigned to an aviation organisation, nominated person, compliance function, accountable manager or other responsible person.

04

Accounts and organisations

Users must provide accurate and current information when creating and maintaining an account.

Users are responsible for maintaining the confidentiality and security of their authentication credentials and must not knowingly permit unauthorised persons to access their accounts.

Accounts are personal unless the Platform expressly provides otherwise. Login credentials may not be shared between multiple individuals.

Customers are responsible for managing access to their Organisation and for assigning appropriate roles and permissions to Users.

Aviation Compliance AI may rely on the permissions and organisational roles configured by the Customer when determining whether a User is authorised to access, edit, approve or otherwise interact with Customer Content.

Customers must promptly remove or restrict access for Users who are no longer authorised to use the Platform on their behalf.

05

Aviation compliance responsibility

Aviation Compliance AI is an assistance, documentation and workflow platform.

The Platform does not replace professional judgement, regulatory interpretation, compliance monitoring, legal advice, certification, approval by a competent authority or any responsibility imposed on an organisation or individual under applicable aviation law.

Use of the Platform does not guarantee that a manual, procedure, document, organisation, operation or activity complies with applicable regulatory requirements.

Customers and Users remain responsible for determining which regulatory requirements apply to their organisation and activities.

All manuals, procedures, compliance assessments, regulatory mappings, revisions and other materials produced, modified or reviewed using the Platform must be appropriately reviewed and validated before being relied upon for operational, compliance, certification, approval or regulatory purposes.

Where regulatory approval or acceptance is required, responsibility for obtaining that approval or acceptance remains with the Customer.

06

Artificial-intelligence features

The Platform may use artificial-intelligence technologies to assist Users with drafting, reviewing, analysing, comparing, structuring or otherwise processing information.

AI-Generated Content may contain errors, omissions, incorrect interpretations, outdated information, incomplete regulatory references or content that is unsuitable for a particular organisation or operation.

AI-Generated Content must therefore not be treated as automatically correct, complete, compliant, approved or authoritative.

Customers and Users are responsible for reviewing AI-Generated Content using appropriately qualified personnel before relying on it.

Aviation Compliance AI does not warrant that AI-Generated Content will identify every applicable regulatory requirement, inconsistency, compliance issue or necessary amendment.

Users must exercise particular care where AI-Generated Content may affect flight safety, operational procedures, continuing airworthiness, maintenance, training, personnel responsibilities, regulatory compliance or other safety-critical activities.

AI functionality is intended to assist human decision-making and documentation workflows, not replace responsible professional review.

07

Regulatory information

The Platform may display, reference, structure, compare or otherwise process Regulatory Content.

Regulations and guidance may change, be amended, corrected, superseded or interpreted differently by competent authorities.

Although Aviation Compliance AI may provide tools intended to help Users work with regulatory information, the Platform does not guarantee that every regulatory source, consolidated version, amendment, interpretation or cross-reference available through the Platform is complete or current at all times.

Customers remain responsible for verifying applicable requirements against authoritative regulatory sources where necessary.

Where there is any conflict between information presented through the Platform and an official publication of a competent authority, the official source prevails.

08

Customer Content

Customers retain ownership of their Customer Content and any intellectual-property rights they hold in that content.

The Customer grants Aviation Compliance AI the rights necessary to host, store, reproduce, transmit, process, analyse and otherwise use Customer Content solely to the extent required to provide, maintain, secure and improve the Platform and perform services requested by the Customer, subject to applicable data-protection requirements and any separate contractual arrangements.

Customers are responsible for ensuring that they have all rights, permissions, authorisations and lawful bases necessary to submit and process Customer Content through the Platform.

Customers must not upload or process material that unlawfully infringes intellectual-property rights, confidentiality obligations, privacy rights or other rights of third parties.

The Platform may provide functionality allowing Customer Content to be shared with other Users within the same Organisation. Customers are responsible for configuring and managing such access appropriately.

09

Confidential information

Customer Content may contain confidential or commercially sensitive information.

Aviation Compliance AI will use reasonable organisational and technical measures appropriate to the nature of the Platform to protect Customer Content against unauthorised access, disclosure, alteration or destruction.

Customers are responsible for determining whether particular information is appropriate to be processed through the Platform and for complying with confidentiality obligations applicable to their organisation.

Where separate confidentiality obligations have been agreed between Aviation Compliance AI and a Customer, those obligations will apply in addition to these Terms.

10

Data protection

Personal data processed through the Platform will be handled in accordance with applicable data-protection law and the Privacy Policy.

Where Aviation Compliance AI processes personal data on behalf of a Customer as a processor within the meaning of the General Data Protection Regulation (GDPR), additional data-processing terms may apply.

Customers are responsible for ensuring that personal data submitted to the Platform has been collected and is processed lawfully and that appropriate notices, permissions or other legal bases exist where required.

Details concerning personal-data processing, subprocessors, retention and data-subject rights are provided in the Privacy Policy and, where applicable, a Data Processing Agreement.

11

Acceptable use

Customers and Users must use the Platform lawfully and in accordance with these Terms.

The Platform must not be used to:

  1. gain or attempt to gain unauthorised access to accounts, systems, networks or data;
  2. interfere with the security, integrity, availability or operation of the Platform;
  3. introduce malware, malicious code or other harmful material;
  4. circumvent authentication, subscription, usage or access restrictions;
  5. systematically scrape, extract or reproduce Platform content except where expressly permitted;
  6. reverse engineer, decompile or attempt to discover the source code or underlying proprietary technology of the Platform except where such restriction is prohibited by applicable law;
  7. resell, sublicense or make Platform access available to third parties without authorisation;
  8. use the Platform or Customer Content in violation of applicable law or third-party rights;
  9. impersonate another person or misrepresent authority to act on behalf of an Organisation; or
  10. use the Platform in a manner that could materially compromise its security or operation.

Aviation Compliance AI may restrict or suspend access where reasonably necessary to protect the Platform, other customers or third parties, investigate suspected misuse or comply with legal obligations.

12

Subscriptions and usage limits

Access to Platform functionality may depend on the Customer's Subscription.

Subscriptions may differ with respect to available functionality, number of Users, Organisations, manuals, documents, AI usage, storage, integrations, regulatory functionality, support levels or other usage limits.

Applicable features, limits, pricing and billing periods will be presented during the purchasing process, in the Platform, on an applicable order form or in another commercial agreement.

Trial, demonstration, beta or evaluation functionality may be limited in duration, functionality or usage and may be modified or discontinued.

Unless expressly agreed otherwise, a Customer does not acquire ownership of the Platform through payment of subscription fees.

13

Fees and payment

Paid Subscriptions are billed according to the pricing, currency and billing period presented when the Subscription is purchased or otherwise agreed with the Customer.

Payments may be processed by an external payment service provider.

Applicable taxes may be added where required by law.

Customers are responsible for maintaining valid and accurate billing information.

Where recurring billing applies, charges may be made for subsequent billing periods in accordance with the subscription terms presented at purchase.

Enterprise customers may be subject to separately agreed invoicing, payment and procurement terms.

Failure to pay amounts when due may result in restriction or suspension of paid functionality after any notice or cure period required by applicable law or contract.

14

Renewal and cancellation

The duration, renewal conditions and cancellation options applicable to a Subscription will be those presented when the Subscription is purchased or otherwise agreed with the Customer.

Where a Subscription automatically renews, the Customer may cancel renewal in accordance with the cancellation procedure and notice period communicated for that Subscription.

Cancellation generally prevents future renewal and does not automatically entitle the Customer to reimbursement of fees already paid, except where required by applicable law or expressly agreed otherwise.

Separate terms may apply to enterprise agreements, negotiated subscriptions, professional services or other individually contracted services.

15

Trial, beta and evaluation functionality

Aviation Compliance AI may provide trial, preview, beta, demonstration or evaluation functionality.

Such functionality may be experimental, incomplete or subject to additional limitations and may be modified or withdrawn.

Unless expressly stated otherwise, evaluation or beta functionality is provided for testing and evaluation and should not be relied upon as the sole basis for operational or regulatory decisions.

Features made available during a trial or beta period are not guaranteed to become or remain part of a commercial Subscription.

16

Platform intellectual property

Aviation Compliance AI and its licensors retain all rights, title and interest in and to the Platform and its proprietary technology, including software, source code, algorithms, architecture, interfaces, designs, graphics, databases, documentation, templates and other proprietary materials, except for Customer Content and third-party materials.

These Terms grant Customers and Users only a limited right to access and use the Platform for its intended purposes during the applicable Subscription or authorised access period.

No ownership rights in the Platform or its underlying technology are transferred to Customers or Users.

Any third-party materials incorporated into or made available through the Platform remain subject to the rights of their respective owners.

17

Feedback

Customers and Users may provide suggestions, comments, ideas or other feedback concerning the Platform.

Unless otherwise agreed, Aviation Compliance AI may use such feedback to develop, improve and operate the Platform without restriction or payment, provided that doing so does not grant Aviation Compliance AI ownership of Customer Content or confidential information.

18

Third-party services

The Platform may integrate with or depend upon third-party services, infrastructure, artificial-intelligence providers, authentication services, payment providers, hosting providers, regulatory information sources or other external systems.

Availability and functionality of such services may be affected by circumstances outside the reasonable control of Aviation Compliance AI.

Third-party services may be governed by their own terms and privacy practices.

Aviation Compliance AI is not responsible for third-party products or services except to the extent responsibility cannot lawfully be excluded or where expressly agreed otherwise.

19

Platform availability and modifications

Aviation Compliance AI may maintain, update, modify and improve the Platform over time.

Features may be added, changed or removed where reasonably necessary for development, security, regulatory, technical or commercial reasons.

Aviation Compliance AI aims to provide reliable Platform availability but does not guarantee uninterrupted or error-free operation.

Access may temporarily be affected by maintenance, updates, security incidents, infrastructure failures, third-party services, internet connectivity or circumstances outside reasonable control.

Where reasonably practicable, planned changes that materially affect paid functionality may be communicated to affected Customers.

20

Security

Aviation Compliance AI may implement technical and organisational measures intended to protect the Platform and Customer Content.

Customers and Users must cooperate with reasonable security requirements and must promptly notify Aviation Compliance AI if they become aware of suspected unauthorised account access, credential compromise or other security incidents relating to their use of the Platform.

No internet-based service can guarantee absolute security. Customers remain responsible for appropriate internal security controls, access management and endpoint security within their own organisation.

21

Suspension

Aviation Compliance AI may temporarily suspend or restrict access to all or part of the Platform where reasonably necessary because of:

  • suspected unlawful or unauthorised use;
  • a material breach of these Terms;
  • a security threat or incident;
  • risk to the Platform or other customers;
  • failure to pay amounts due;
  • a legal or regulatory requirement; or
  • urgent technical circumstances requiring temporary restriction.

Where appropriate and legally permitted, Aviation Compliance AI will seek to notify the affected Customer and restore access when the reason for suspension has been resolved.

22

Termination

A Customer may terminate its use of the Platform in accordance with the conditions applicable to its Subscription or other agreement.

Aviation Compliance AI may terminate or restrict access where a Customer materially breaches these Terms and, where appropriate, fails to remedy that breach within a reasonable period after notice.

Access may also be terminated where continued provision of the Platform becomes unlawful or is prevented by circumstances that make continued provision unreasonable.

Termination does not affect rights and obligations that accrued before termination.

Provisions which by their nature are intended to survive termination, including provisions concerning intellectual property, confidentiality, outstanding payments, disclaimers and limitations of liability, will continue to apply.

23

Export and deletion of Customer Content

During an active Subscription, Customers may be provided with functionality to export certain Customer Content in formats supported by the Platform.

Following termination or expiry, access to Customer Content may be limited or removed.

Customers are responsible for exporting information they require before their access ends.

Customer Content may subsequently be deleted in accordance with Aviation Compliance AI's applicable retention policies, legal obligations and contractual commitments.

Specific retention or export arrangements may be agreed separately with enterprise customers.

24

Disclaimer of warranties

To the extent permitted by applicable law, the Platform is provided on an "as available" basis.

Aviation Compliance AI does not warrant that the Platform will be uninterrupted, error-free or suitable for every Customer's particular regulatory, operational or organisational requirements.

In particular, Aviation Compliance AI does not warrant that:

  • use of the Platform will itself establish or maintain regulatory compliance;
  • AI-Generated Content will be accurate, complete or suitable for a particular purpose;
  • all applicable regulatory requirements will be automatically identified;
  • regulatory authorities will approve or accept documents produced using the Platform; or
  • every error, inconsistency or compliance issue in Customer Content will be detected.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

25

Limitation of liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for intent, fraud or other liability that cannot legally be limited.

Subject to the foregoing, Aviation Compliance AI will not be responsible for losses resulting from a Customer's failure to appropriately review, validate or approve AI-Generated Content, regulatory analyses, manuals, procedures or other outputs before using them for operational or regulatory purposes.

Aviation Compliance AI will not be responsible for decisions made by competent authorities, including approval, rejection, findings, observations, certification decisions or other regulatory actions.

To the extent permitted by applicable law, Aviation Compliance AI will not be liable for indirect or consequential losses, loss of profit, loss of business opportunity or loss resulting from interruption of business arising from use of the Platform.

Where liability may lawfully be limited and unless otherwise agreed in writing, Aviation Compliance AI's aggregate contractual liability arising from the paid Platform service will be limited to the fees paid by the Customer for the affected service during the twelve months preceding the event giving rise to the claim.

The limitations in this section apply only to the extent permitted by applicable law.

26

Indemnification and third-party claims

Customers are responsible for their own use of the Platform and Customer Content.

To the extent permitted by applicable law and any separately agreed contractual terms, a Customer will be responsible for third-party claims resulting from Customer Content or use of the Platform that unlawfully infringes third-party rights or violates applicable law.

Nothing in this section limits liability that cannot lawfully be limited or allocated in this manner.

Additional indemnification provisions may be agreed separately with enterprise customers.

27

Independent platform and regulatory authorities

Aviation Compliance AI is an independent software platform.

It is not the European Union Aviation Safety Agency (EASA), the European Commission, a national aviation authority or any other competent authority.

References to EASA, national aviation authorities, aviation regulations, regulatory frameworks or other regulatory bodies are provided for identification, information, workflow and compliance-support purposes.

Unless expressly stated by the relevant authority, no such reference implies sponsorship, certification, partnership, approval or endorsement of Aviation Compliance AI.

Use of the Platform does not constitute communication with, submission to or approval by a competent authority unless the Platform expressly provides a specific authorised integration for that purpose.

28

Changes to these Terms

Aviation Compliance AI may update these Terms where reasonably necessary to reflect changes to the Platform, applicable law, regulatory requirements, security practices or commercial arrangements.

The current version will be made available through the Platform or website together with its effective or last-updated date.

Where a change materially affects an existing Customer's contractual rights or obligations, notice may be provided through the Platform, by email or through another appropriate method before the change takes effect where required.

Continued use of the Platform after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

29

Force majeure

Neither party will be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances beyond its reasonable control, including major infrastructure outages, telecommunications failures, natural disasters, war, civil disturbance, governmental actions, widespread cyber incidents or failure of essential third-party infrastructure.

This provision does not excuse payment obligations that became due before the relevant event.

30

Assignment

Customers may not transfer their contractual rights or obligations relating to the Platform to another party without prior consent where such consent is reasonably required.

Aviation Compliance AI may transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, sale of business or transfer of the Platform, subject to applicable law and existing contractual obligations.

31

Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Where possible, an invalid or unenforceable provision will be interpreted or replaced in a manner that most closely reflects its intended lawful commercial purpose.

Failure to enforce a provision of these Terms on one occasion does not constitute a waiver of the right to enforce that provision later.

32

Governing law and jurisdiction

Unless mandatory law or a separately agreed contract provides otherwise, these Terms are governed by the laws of the Federal Republic of Germany.

For Customers acting in the course of their commercial or independent professional activity, and where legally permissible, the courts at [CITY / REGISTERED OFFICE], Germany, will have jurisdiction over disputes arising from or relating to these Terms.

Mandatory statutory jurisdiction rules remain unaffected.

33

Entire agreement

These Terms, together with any applicable order, Subscription conditions, Privacy Policy, Data Processing Agreement and other expressly incorporated contractual documents, constitute the agreement governing use of the Platform to the extent applicable.

Individually negotiated written agreements between Aviation Compliance AI and a Customer take precedence where they expressly differ from these Terms.
